In these Terms, the following definitions apply:

• "Urban Crest Homes" means Urban Crest Homes, its directors, officers, employees, agents, contractors, and successors.
• "Platform" means the Urban Crest Homes web application, client portal, project management system, online cost estimator, cashflow forecasting tools, document management features, and all associated software, interfaces, algorithms, and branding.
• "User" means any individual or entity that accesses or uses the Platform, including clients, trade partners, contractors, and internal staff.
• "Estimate" means any cost projection, financial figure, timeline, or forecast generated by or presented through the Platform.
• "Content" means all text, graphics, code, data, algorithms, workflows, pricing logic, design elements, and other material forming part of the Platform.

The Platform — including but not limited to its source code, object code, software architecture, database schemas, application logic, proprietary algorithms, quote calculation engines, weekly cashflow prediction systems, Gantt timeline frameworks, project progression tracking methodologies, user interface designs, layouts, visual compositions, branding, trade marks, service marks, trade names, logos, and all other creative and technical works embodied within — constitutes the sole and exclusive intellectual property of Urban Crest Homes and is protected under the Copyright, Designs and Patents Act 1988, the Trade Marks Act 1994, and all other applicable intellectual property legislation of England and Wales and applicable international treaties.

No licence, right, title, or interest in or to any part of the Platform's intellectual property is granted to any User, whether express, implied, by estoppel, or otherwise, except for the limited, non-exclusive, non-transferable, revocable right to access and use the Platform strictly in accordance with these Terms.

The following acts are expressly and strictly prohibited without the prior written consent of Urban Crest Homes, and any breach thereof shall be deemed a material violation of these Terms giving rise to immediate termination and civil and/or criminal liability:

• Copying, reproducing, distributing, publishing, or transmitting any part of the Platform or its Content by any means or in any form;
• Reverse-engineering, decompiling, disassembling, or otherwise attempting to derive the source code, algorithms, or underlying logic of the Platform;
• Creating derivative works, clones, imitations, or substantially similar products inspired by or based upon the Platform's features, workflows, or concept;
• Scraping, harvesting, or extracting data, pricing logic, or structural elements of the Platform by automated or manual means;
• Commercially exploiting, licensing, sublicensing, selling, or otherwise monetising any element of the Platform or its intellectual property;
• Removing, altering, or obscuring any copyright notice, trade mark, or proprietary legend appearing on or within the Platform.

Any unauthorised use or infringement of Urban Crest Homes' intellectual property rights shall entitle Urban Crest Homes to seek injunctive relief, an account of profits, damages (including aggravated and exemplary damages where permitted by law), and all legal costs on an indemnity basis from the infringing party. Urban Crest Homes reserves the right to pursue the maximum penalties available under applicable law.

3.1 Nature of Estimates and Projections. All cost estimates, financial projections, timeline forecasts, cashflow predictions, progress indicators, and other data presented on or generated by the Platform are provided strictly for informational and illustrative purposes only. They do not constitute a binding quotation, warranty, representation, or guarantee of any kind. Actual costs, durations, and outcomes may vary materially from any figure or projection displayed on the Platform.

3.2 Exclusion of Liability. To the fullest extent permitted by applicable law, Urban Crest Homes hereby expressly excludes all liability — whether arising in contract, tort (including negligence), breach of statutory duty, misrepresentation, or otherwise — for:

• Any financial loss, loss of profit, loss of revenue, loss of anticipated savings, or loss of business arising from reliance upon any Estimate, projection, or data presented on the Platform;
• Any project delay, cost overrun, construction defect, or failure to meet any timeline displayed within the Platform;
• Any loss or damage arising from the malfunction, unavailability, error, interruption, suspension, or termination of the Platform or any feature thereof;
• Any indirect, special, incidental, consequential, or punitive loss or damage of any nature whatsoever, even if Urban Crest Homes has been advised of the possibility of such loss;
• Any loss arising from unauthorised access to, or alteration of, a User's data or account;
• Any third-party acts, omissions, services, or content accessed through or in connection with the Platform.

3.3 Cap on Liability. Where liability cannot be fully excluded by law, the aggregate liability of Urban Crest Homes to any Subscriber (Contractor) in respect of all claims arising out of or in connection with the Platform shall in no circumstances exceed the total subscription fees paid by that Subscriber during the twelve (12) months immediately preceding the event giving rise to the claim. For public-facing users (non-subscribers), the cap remains one hundred pounds sterling (£100.00).

3.4 Savings. Nothing in these Terms shall exclude or limit liability for death or personal injury caused by Urban Crest Homes' negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded or limited under applicable law.

3A.1 AI-Generated Outputs. The Platform may incorporate artificial intelligence, machine learning, automated forecasting, cost estimation algorithms, cashflow predictions, and automated workflow outputs (collectively "AI Outputs"). All AI Outputs are provided for informational and assistance purposes only and do not constitute professional advice, a binding quotation, or a guarantee of any kind.

3A.2 User Responsibility. Users must independently verify all AI-generated estimates, forecasts, recommendations, cashflow predictions, reports, and automated outputs before relying upon them for any commercial, financial, or construction decision. Urban Crest Homes accepts no liability for decisions made in reliance on AI Outputs without independent verification.

4.1 Unilateral Right of Termination. Urban Crest Homes reserves the absolute and unilateral right, exercisable at its sole discretion, to suspend, restrict, or permanently terminate any User's access to the Platform — in whole or in part — at any time and without prior notice, warning, or liability to the User.

4.2 Grounds for Termination. Without prejudice to the generality of the foregoing, Urban Crest Homes may immediately terminate or suspend access in circumstances including, but not limited to:

• Non-payment of subscription fees or setup fee;
• Fraud or attempted fraud in connection with the platform;
• Abusive, threatening, or unlawful conduct;
• Illegal activity or activity that brings Urban Crest Homes into disrepute;
• Any actual, suspected, or threatened infringement of Urban Crest Homes' intellectual property rights;
• Any unauthorised commercial exploitation of the Platform's features, logic, or concept;
• Breach of any provision of these Terms;
• Platform misuse or circumvention of access controls;
• A regulatory, legal, or compliance requirement necessitating such action.

4.2A Notice. Where practical and where the breach is capable of remedy, Urban Crest Homes will provide reasonable notice before suspension or termination. However, in cases of fraud, IP infringement, or illegal activity, immediate termination without notice is reserved.

4.2B Data Retention on Termination. Upon account cancellation or termination, the Subscriber's data will remain accessible for a period of 30 days from the termination date. After this period, data may be permanently and irreversibly deleted. Urban Crest Homes will use reasonable efforts to provide advance notice before permanent deletion. The Subscriber is solely responsible for exporting and retaining copies of their data prior to this period expiring.

4.3 Consequences of Termination. Upon termination, the User's right to access and use the Platform shall immediately cease. Urban Crest Homes shall have no obligation to retain, provide access to, or restore any User data following termination, subject to any legal data retention obligations. Provisions of these Terms that by their nature should survive termination — including Clauses 2 (Intellectual Property Rights), 3 (Limitation of Liability), 5 (Governing Law), and all indemnities — shall continue in full force and effect.

4.4 No Liability for Termination. Urban Crest Homes shall not be liable to any User or any third party for any suspension or termination of access to the Platform, regardless of the reason or manner of such suspension or termination.

4A.1 Setup Fee. A one-time, non-refundable setup fee is required before platform activation. This fee covers platform configuration, branding setup, onboarding, and training. Payment of the setup fee does not constitute a subscription and confers no ongoing rights beyond initial activation.

4A.2 Subscription Plans. Platform access is provided on a subscription basis:

• UC Homes Pro: £99 per month — up to 20 active projects, core platform features.
• UC Homes Enterprise: £199 per month — unlimited projects, advanced CRM, cashflow dashboard, DocuSign, priority support.

4A.3 Automatic Renewal. Subscriptions renew automatically on a monthly basis unless cancelled by the Subscriber before the renewal date. Urban Crest Homes will notify Subscribers of any price changes with at least 30 days' notice before the change takes effect.

4A.4 Failed Payments. In the event of a failed payment, Urban Crest Homes reserves the right to suspend or restrict access to the platform until outstanding amounts are settled. Urban Crest Homes will make reasonable efforts to notify the Subscriber of failed payments before suspension.

4A.5 Platform Licence. The platform is licensed, not sold. Payment of subscription fees grants a limited, non-exclusive, non-transferable, revocable licence to access and use the platform during the active subscription period only. No intellectual property rights are transferred at any time.

4A.6 Customer Data Ownership. Subscribers retain full ownership of their own business data, including: leads, projects, contracts, invoices, uploaded documents, photographs, and client records stored within the platform. Urban Crest Homes retains ownership of the platform, software, systems, logic, templates, and workflows. Upon cancellation or termination, customer data remains accessible for 30 days, after which it may be permanently deleted. Subscribers are responsible for exporting their data before this period expires.

The following elements of the Platform remain the exclusive intellectual property of Urban Crest Homes Ltd and are protected under applicable intellectual property legislation:

• Platform source code and software architecture
• Application logic and workflow automations
• Cost estimation calculators and pricing algorithms
• Cashflow forecasting systems and financial models
• Project management dashboards and interfaces
• Contract, invoice, and document templates
• User interface designs and visual compositions
• Branding, trade marks, logos, and service marks
• Proprietary business methodologies and operational processes

Subscribers expressly agree that they will not, directly or indirectly:

• Copy, clone, reproduce, or recreate any part of the platform
• Reverse-engineer, decompile, or attempt to derive source code
• Resell, white-label, sublicense, or commercially exploit any platform element
• Create competing or substantially similar products based on the platform
• Remove or obscure any copyright notices or proprietary markings

Any breach of this clause shall constitute a material breach entitling Urban Crest Homes to immediate termination of the licence, an injunction, and full legal remedy including damages and costs on an indemnity basis.

By using the Platform, you represent, warrant, and undertake that:

• You are at least 18 years of age and have full legal capacity to enter into these Terms;
• All information you provide to the Platform is accurate, current, and complete;
• You will use the Platform solely for its intended purpose and in compliance with all applicable laws and regulations;
• You will not use the Platform to engage in any unlawful, fraudulent, misleading, or harmful activity;
• You will not attempt to gain unauthorised access to any part of the Platform, its servers, or associated systems;
• You will not use the Platform to transmit any malicious code, virus, or other harmful material;
• You will maintain the confidentiality of your account credentials and notify Urban Crest Homes immediately of any suspected unauthorised use.

Urban Crest Homes processes personal data in accordance with the UK General Data Protection Regulation (UK GDPR) and the Data Protection Act 2018. By using the Platform, Users acknowledge and consent to the collection and processing of their personal data as necessary for the provision of the Platform's services. Marketing communications will only be sent to Users who have provided explicit opt-in consent in accordance with the Privacy and Electronic Communications Regulations 2003 (PECR). Users may withdraw marketing consent at any time by contacting Urban Crest Homes or using the unsubscribe mechanism provided in any marketing communication.

The Platform is provided on an "as is" and "as available" basis. To the fullest extent permitted by law, Urban Crest Homes makes no representations or warranties of any kind, whether express, implied, statutory, or otherwise, including any implied warranty of merchantability, fitness for a particular purpose, title, or non-infringement. Urban Crest Homes does not warrant that the Platform will be uninterrupted, error-free, secure, or free of viruses or other harmful components.

You agree to fully indemnify, defend, and hold harmless Urban Crest Homes and its directors, officers, employees, agents, and licensors from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees on an indemnity basis) arising out of or in connection with: (a) your use of or access to the Platform; (b) your breach of these Terms; (c) your infringement of any intellectual property or other rights of Urban Crest Homes or any third party; or (d) any act or omission on your part in connection with the Platform.

Urban Crest Homes reserves the right to amend, update, or replace these Terms at any time at its sole discretion. Revised Terms will be posted on the Platform with an updated "Last Updated" date. Your continued use of the Platform following the posting of any revised Terms constitutes your acceptance of those changes. It is your responsibility to review these Terms periodically. If you do not agree to any amended Terms, you must cease using the Platform immediately.

These Terms and Conditions, and any dispute or claim arising out of or in connection with them or their subject matter or formation (including non-contractual disputes or claims), shall be governed by and construed exclusively in accordance with the laws of England and Wales.

Each party irrevocably agrees that the courts of England and Wales shall have exclusive jurisdiction to settle any dispute or claim arising out of or in connection with these Terms or their subject matter or formation. Nothing in this clause shall limit Urban Crest Homes' right to seek injunctive or other urgent equitable relief in any competent jurisdiction.

Severability: If any provision of these Terms is found by a court of competent jurisdiction to be invalid, illegal, or unenforceable, that provision shall be deemed modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall continue in full force and effect.

Entire Agreement: These Terms constitute the entire agreement between you and Urban Crest Homes with respect to the Platform and supersede all prior agreements, representations, and understandings of any kind relating to the same subject matter.

Waiver: No failure or delay by Urban Crest Homes in exercising any right, power, or privilege under these Terms shall operate as a waiver thereof, nor shall any single or partial exercise preclude any other or further exercise.

No Partnership: Nothing in these Terms creates or implies any partnership, joint venture, agency, employment, or franchise relationship between you and Urban Crest Homes.

Third Party Rights: A person who is not a party to these Terms has no right under the Contracts (Rights of Third Parties) Act 1999 to enforce any of its provisions.
